Terms of Service

1. Acceptance of Terms

WheelsAndAxle is operated by Seed LLC, a Texas limited liability company ("Seed LLC," "we," "us," or "our"). By accessing or using WheelsAndAxle ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

WheelsAndAxle is a web-based platform for independent truckers and owner-operators. The Service provides fuel receipt tracking, trip and mileage logging, IFTA quarterly return preparation, order management, invoicing, and fleet tracking tools.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration.

4. Subscription & Payment

The Service is offered on a monthly subscription basis at the current introductory rate of $1.99/month. Introductory pricing is subject to change with advance notice. Your first 14 days are a free trial — no credit card is required. After the trial period, you must subscribe to continue using the Service.

Your subscription automatically renews each month until you cancel. You will be charged the current subscription rate at the start of each billing period. If Paddle increases the price of your subscription, you will be notified in advance and, where required, asked to consent before continuing. To cancel, you may do so through your account billing page or by contacting Paddle directly at least 48 hours before the end of your current billing period. Your cancellation takes effect at the next payment date.

Payments are processed by our payment partner, Paddle.com ("Paddle"), who acts as the Merchant of Record for all transactions. Paddle handles billing, tax collection, and refunds. By subscribing, you also agree to Paddle's Consumer Terms. Refunds are provided at Paddle's sole discretion on a case-by-case basis. There are no refunds on unused subscription periods. All refund requests must be made within 60 days of the transaction. See our Refund Policy for full details.

5. IFTA Compliance Disclaimer

WheelsAndAxle provides IFTA worksheets as preparation aids only. The Service does not file returns on your behalf. You are solely responsible for verifying all figures and filing with your base jurisdiction. WheelsAndAxle is not a tax advisor, CPA, or licensed tax preparer. We make no guarantees regarding the accuracy of tax calculations. Always consult with a qualified professional for tax advice.

6. Your Data

You retain ownership of all data you enter into the Service, including fuel receipts, trip records, orders, and invoices. You grant us a limited license to store, process, and display your data solely to provide the Service. We do not sell your data. See our Privacy Policy for details on data handling.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload fraudulent receipts or falsify trip/mileage data
• Attempt to gain unauthorized access to other users' data
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or extract data from the Service

8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as-is" and "as available" without express or implied warranties of any kind, including the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. WheelsAndAxle does not warrant that the Service will be uninterrupted, error-free, or that calculations, worksheets, or any data produced by the Service will be accurate or complete. WheelsAndAxle is not a tax advisor, accounting firm, CPA, or licensed professional service.

9. Limitation of Liability

To the maximum extent permitted by law, WheelsAndAxle shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages from inaccurate calculations, missed deadlines, penalties, interest, or audit assessments. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless WheelsAndAxle, its owners, employees, and agents from any claims, damages, losses, or costs (including reasonable attorney fees) arising from: (a) your use of the Service; (b) any data you enter, including inaccurate fuel receipts, mileage logs, or trip records; (c) your filing of tax returns based on Service-generated worksheets without independent verification; or (d) your violation of these Terms.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will make reasonable efforts to notify you of planned downtime.

12. Termination & Data Retention

You may cancel your subscription at any time through your account billing page or by contacting Paddle at least 48 hours before the end of your current billing period. We may suspend or terminate your account if you violate these Terms.

Upon cancellation or termination, your account enters read-only mode. You can still log in, view your data, and export it (CSV, PDF), but you cannot create, edit, or delete records. Your data is retained for 90 days after your account enters read-only mode. After 90 days, all data — including fuel receipts, trips, orders, invoices, vehicles, and uploaded files — is permanently deleted from our systems. You may resubscribe at any time during the 90-day retention period to restore full access.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles.
